Indicative assignments undertaken by our Banking and Finance practice include advising the following:
- Bank of America and Merrill Lynch in connection with Greek regulatory issues relating to their merger and the investment of the US Treasury in Bank of America
- Morgan Stanley in the first sale in Greece of charged off consumer debt
- Various major US and UK investment firms on the legal and tax aspects of ISDA agreements, stock lending transactions and exchange traded mutual funds
- One of the largest international food retailers in Greece in the establishment of the second largest credit company in Greece
- ABN AMRO on the sale of its custody business to Citibank
- Caisse Nationale de Credit Agricole on the acquisition of 6.7% of Commercial Bank of Greece and on the cooperation agreements between their subsidiaries
- Caisse Nationale de Credit Agricole on the implementation of the cooperation agreements with Ermis Mutual Fund Management Company S.A. and Investment Bank S.A., subsidiaries of Commercial Bank of Greece, in accordance with the above main agreement between Caisse Nationale de Credit Agricole and Commercial Bank of Greece
- Credit Agricole Asset Management and Credit Agricole Indosuez on the purchase of shares of Ermis Mutual Fund Management Company S.A. and Investment Bank S.A., respectively
- National Bank of Greece in connection with a Global Medium-Term Note Programme of Euro 1 billion
- Merrill Lynch International, Morgan Stanley Dean Witter and NBG International on the issuance of the first Euro-denominated Greek corporate bond offering of Euro 1.1 billion issued by OTE. Our assignment included advice on all issues connected to the structure of the transaction and all related legal and tax issues
- Intesa San Paolo, Societe Generale, Credit Commercial de France / HSBC, Eurohypo AG, JP Morgan on a variety of tax issues pertaining to their structure and operations in Greece
- Gottardo Bank with regard to the establishment and operation of its subsidiary in Greece
- Societe Generale, JP Morgan, Intesa San Paolo on tax dispute resolution procedures.
