Zepos & Yannopoulos advises METLEN on the acquisition of energy software company Joule

Zepos & Yannopoulos advised METLEN on the acquisition of 100% of the shares of Joule S.A. (Joule), a Greek energy software company specialising in the optimisation of renewable energy project management. The transaction centres on Joule's jHub platform, an advanced system for the remote monitoring, control, and optimisation of renewable energy and storage portfolios.

The acquisition materially strengthens METLEN’s digital capabilities in managing and commercially optimising renewable energy and storage portfolios, reinforcing its Aggregator business, one of the largest and most dynamic in the Greek market. With the integration of jHub, METLEN gains technological autonomy in a critical operational function, enhancing its ability to optimise portfolio operations, reduce balancing costs, and unlock new digital energy services, including advanced storage management applications and solutions for dispatchable renewable energy units and hybrid portfolios. ΜETLEN will also leverage the expertise of the Joule team across product development, engineering, and go-to-market activities.

Our firm advised METLEN on all aspects of the transaction, including conducting the legal due diligence and drafting and negotiating the transactional and ancillary documentation. Our deal team comprised Danai Falconaki, partner, Rania Koliouli, senior associate, and Celia Karvouni, associate. The due diligence team included Nasia Gkouma, partner, and Sofia Telonaki, associate, for regulatory matters; Rania Papakonstantinou, head of Employment, Immigration & Global Mobility, Matina Andrikopoulou, senior associate, and Dorita Bezati, associate, for employment matters; and Yolanda Antoniou-Rapti, senior associate, and Iliana Papantoni, associate, for data protection matters.
